The Florida Attorney General has been requested to commence investigative proceedings into the hostile takeover of Paw Warriors, a Florida non-profit animal rescue. The allegations are that four individuals, Mel McBride, Deborah Sadlowski, Mary Stafford, and Katherine Bass (referred to as "Rogue Directors"), illegally seized control of the organization. The following key actions constitute a power grab, harming the organization's mission and reputation.
Illegal Removal of Board Members: Tracie Steger and other board members were improperly removed in December 2024 without proper notice, meeting attendance, or legal voting procedures, violating Florida non-profit laws and Paw Warriors' bylaws.
Bylaw Violations: The Rogue Directors violated Paw Warriors' bylaws regarding notice and voting procedures for removing board members and officers.
Misleading State Filings: The Rogue Directors filed misleading amendments with the state, including inaccurate dates and changes of address, to solidify their control.
Unethical Online Conduct: The Rogue Directors engaged in unethical online behavior, including libel and slander, deleting comments, creating fake accounts, and blocking supporters and donors to control the narrative.
Improper Eviction and Personal Belongings: Tracie Steger was improperly evicted from her residence at the rescue property, and her personal belongings were withheld, destroyed and sold at yard sale events on the rescue property.
Lack of Transparency: The Rogue Directors have refused to provide information, records, and meeting minutes to stakeholders.
Breach of Fiduciary Duty: The Rogue Directors have breached their fiduciary duties of loyalty, care, and obedience, acting against the best interests of Paw Warriors and its mission.
